These Terms of Service ("Terms") govern your use of the Launch Pad platform and website at launchpadbuilder.com (the "Service"), operated by [LaunchPad LLC] ("Launch Pad," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

Launch Pad provides a business operating system for small service businesses, which may include website and branding setup, a customer management system (CRM), estimates and invoices, payment-processing tools, and assistance with business formation. Features may change over time.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, your login credentials, and all activity under your account. Provide accurate information and keep it up to date.

3. Fees and payment

  • Setup fee: A one-time setup fee applies when you start, as shown at signup.
  • Monthly fee: A recurring monthly host/subscription fee applies, billed in advance and renewing automatically until canceled.
  • Platform fee (1%): For payments you process through the Service (for example, invoices paid by your customers), Launch Pad charges a platform fee equal to 1% of each payment. This fee is deducted automatically at the time of payment, in addition to the standard payment-processing fees charged by Stripe. By using the payment features, you authorize this fee. We may change the fee with reasonable notice.
  • Third-party and government costs: Some services involve third-party or government fees (for example, state LLC filing fees, registered-agent renewals, annual franchise taxes, or domain costs). Unless we clearly state that a cost is included, these are your responsibility and may be billed at cost or paid by you directly.
  • Billing: Fees are charged through Stripe. You authorize us to charge your payment method for all applicable fees. Fees are exclusive of taxes, which are your responsibility.

4. Cancellation and refunds

You may cancel your monthly subscription at any time; cancellation takes effect at the end of the current billing period. Setup fees and completed one-time work (such as a finished website, branding, or business formation) are non-refundable once delivered, except where required by law. 5. Payments to your business (Stripe Connect)

The Service uses Stripe Connect so that payments from your customers go to your own connected Stripe account. You are the merchant of record for your transactions and are responsible for your goods and services, refunds, chargebacks, and compliance with Stripe's terms. Launch Pad is not a party to transactions between you and your customers and is not responsible for them, other than providing the tools and collecting the 1% platform fee described above.

6. Business formation assistance — please read

If we assist you with forming a business entity (such as an LLC), we do so through a third-party registered-agent/formation provider. Launch Pad is not a law firm or an accounting firm and does not provide legal or tax advice. Any information we provide is general and is not a substitute for advice from a licensed attorney or accountant. You are solely responsible for choosing your entity type and for all ongoing compliance and costs of your entity, including annual fees, franchise taxes (for example, California's annual LLC tax), registered-agent renewals, and required filings. We recommend you consult a licensed professional.

7. Your customers and their consent

You are responsible for your own customers' data and for obtaining any required consent before sending emails or text messages to them through the Service. You agree to comply with all applicable laws, including the TCPA, CAN-SPAM, and carrier/A2P messaging rules, and to honor opt-out requests. You will not use the Service to send unlawful, unsolicited, or prohibited messages.

8. Acceptable use

You agree not to use the Service to break the law; send spam or unlawful messages; infringe others' rights; upload malicious code; attempt unauthorized access; or misuse the payment features. We may suspend or terminate accounts that violate these Terms.

9. Messaging terms

If you opt in to texts from Launch Pad, message frequency varies, message and data rates may apply, and you can reply STOP to opt out and HELP for help. See our Privacy Policy for details.

10. Intellectual property

Launch Pad and its content, software, and branding are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. You keep ownership of the content and data you provide, and you grant us a license to use it to operate and provide the Service.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee specific business results, revenue, or that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the fullest extent permitted by law, Launch Pad will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim.

13. Indemnification

You agree to indemnify and hold harmless Launch Pad from claims, damages, and expenses arising from your use of the Service, your content, your transactions with your customers, your messaging, or your violation of these Terms or the law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for any lawful reason. Some provisions survive termination, including fees owed, disclaimers, limitation of liability, and indemnification.

15. Governing law
